Terms of Service

These Terms of Service (the "Terms") are a binding agreement between Auspex Labs Inc. ("Auspex," "we," "us," or "our") and the person or organization accessing or using a Service ("you" or "your"). By accessing or using a Service, creating an account, or accepting an order that references these Terms, you agree to them.

1. Scope and Order of Precedence

These Terms apply to Auspex websites, hosted products, applications, mobile applications, software, subscriptions, documentation, support, and professional services (collectively, the "Services"). Product-specific terms, an order form, statement of work, master services agreement, marketplace order, data-processing agreement, or other written agreement accepted by Auspex and you may add to or modify these Terms. If there is a conflict, the more specific written agreement controls for the subject it covers.

Third-party services, app stores, marketplaces, and integrations may impose their own terms. Those terms govern your relationship with the third party and do not alter these Terms between you and Auspex.

2. Eligibility and Authority

You must be at least 18 years old to create a business account, purchase a business Service, or enter a contract with Auspex. If you use a consumer Service before reaching the age of legal majority where you live, a parent or legal guardian must review and accept these Terms for you. Not a Bad Life is not directed to children under 13.

If you use a Service for an organization, you represent that you are authorized to bind that organization. In that case, "you" includes the organization. You may use a Service only where permitted by law.

3. Accounts and Security

You must provide accurate account information and keep it current. You are responsible for safeguarding credentials, authentication methods, API keys, devices, and access granted through your account. You must promptly notify Auspex at contact@auspex-labs.com if you suspect unauthorized access or a security incident involving a Service.

You are responsible for activity conducted through your account except to the extent caused by Auspex's breach of these Terms. Organization administrators may add or remove users, assign permissions, access organization information, and control the organization's account.

4. License and Permitted Use

Subject to these Terms and payment of applicable fees, Auspex grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to access and use the Services during the applicable service period for your internal personal or business purposes. Software is licensed, not sold.

You may make reasonable internal copies of documentation solely to support authorized use. All rights not expressly granted are reserved by Auspex and its licensors.

5. Acceptable Use

You will not, and will not permit another person to:

• use a Service unlawfully or to violate another person's rights;
• access systems, networks, accounts, or data without authorization;
• upload malicious code or use a Service to distribute malware, spam, harassment, or deceptive content;
• interfere with, disrupt, overload, probe, scan, or test a Service except through an Auspex-authorized security engagement;
• circumvent security, usage, account, licensing, or access controls;
• reverse engineer, decompile, disassemble, copy, modify, or create derivative works from a Service except to the limited extent a restriction is prohibited by law;
• rent, resell, sublicense, or provide a Service as a service bureau unless expressly authorized in writing;
• use automated means to scrape or extract substantial content from a Service except through a documented interface and within its limits;
• misrepresent identity, affiliation, authorization, or the origin of data; or
• use a Service or its output as the sole basis for a decision that may cause physical injury or unlawfully deny a person employment, housing, credit, insurance, education, or another essential opportunity.

6. Customer Data and Responsibilities

"Customer Data" means data, content, configuration, records, or materials that you or your authorized users submit to a Service. As between you and Auspex, you retain ownership of Customer Data. You grant Auspex a limited right to host, copy, transmit, transform, analyze, and otherwise process Customer Data only as necessary to provide, secure, support, and improve the applicable Service, comply with your instructions, and meet legal obligations.

You represent that you have all rights, permissions, and lawful bases necessary to provide Customer Data and authorize its processing. You are responsible for configuring the Service appropriately, managing users and permissions, maintaining any required notices and consents, and determining whether Service output is suitable for your use.

Auspex may create and use aggregated or deidentified information that does not reasonably identify you, an individual, or your organization to operate, secure, measure, and improve the Services.

7. Privacy

Our Privacy Policy describes how we handle personal information across Auspex websites, business operations, and Services other than Not a Bad Life. The Not a Bad Life mobile application has a separate Not a Bad Life Privacy Policy. Those policies are notices about data practices and are incorporated into these Terms only to the extent applicable to the Service you use.

8. Fees, Billing, and Taxes

Prices, billing periods, usage measures, subscription terms, and payment requirements are stated at purchase or in the applicable order. Unless an order says otherwise, fees are in U.S. dollars, due when invoiced or charged, and nonrefundable except where required by law or expressly stated in these Terms.

You authorize Auspex and its payment, marketplace, or billing providers to charge the selected payment method for fees and applicable taxes. You are responsible for taxes other than taxes based on Auspex's net income. Overdue undisputed amounts may result in suspension after reasonable notice. A marketplace's billing and refund rules control when a Service is purchased through that marketplace.

9. Third-Party Services

A Service may interoperate with or link to a third-party product, identity provider, app store, marketplace, payment provider, or data source. Auspex does not control and is not responsible for third-party services. Your use of them is governed by their terms and privacy practices. Enabling an integration authorizes Auspex to exchange information with that integration as necessary to perform your request.

10. Intellectual Property and Feedback

The Services, documentation, software, designs, interfaces, methods, models, reports, trademarks, and other Auspex materials are owned by Auspex or its licensors and protected by intellectual-property laws. These Terms do not transfer ownership of Auspex materials or Customer Data.

If you provide a suggestion, idea, or other feedback, you grant Auspex a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate it without restriction or obligation. This does not authorize Auspex to identify you publicly without permission.

11. Confidentiality

Each party may receive nonpublic information that a reasonable person would understand to be confidential. The receiving party will use confidential information only to perform or exercise rights under the parties' agreements and will protect it with at least reasonable care. This obligation does not apply to information that the receiving party can document was already lawfully known without restriction, becomes public without breach, is received lawfully from another source, or is independently developed without use of the confidential information.

A receiving party may disclose confidential information when legally required after giving notice when legally permitted and reasonable assistance in seeking protection. Customer Data is your confidential information. Nonpublic Service technology, security information, pricing, and product plans are Auspex confidential information.

12. Service Changes, Availability, and Beta Features

We may improve, change, or discontinue features. We will provide notice when a change materially reduces paid functionality during a current service period, unless immediate action is required for security, safety, legal compliance, or a third-party dependency.

Features identified as alpha, beta, preview, evaluation, trial, or experimental may be incomplete, change without notice, and be discontinued at any time. They are provided for evaluation, may be subject to additional restrictions, and should not be used for production-critical workloads unless Auspex expressly authorizes that use.

13. Suspension and Termination

You may stop using a Service at any time. Subscription cancellation takes effect under the terms shown at purchase. Either party may terminate an applicable order for an uncured material breach after 30 days' written notice, or immediately if the breach cannot be cured. Auspex may suspend access when reasonably necessary to prevent a security threat, unlawful activity, material harm, unauthorized use, or continued nonpayment of undisputed amounts.

After termination or expiration, your right to use the affected Service ends. Subject to the applicable product and agreement, you may request export of Customer Data before termination or within any stated retrieval period. Auspex may then delete Customer Data according to the applicable agreement and Privacy Policy. Sections that by their nature should survive will survive, including ownership, confidentiality, accrued payment obligations, disclaimers, limitations of liability, indemnification, and general terms.

14. Warranties and Disclaimers

Each party represents that it has authority to enter these Terms. Auspex warrants that paid professional services will be performed in a professional and workmanlike manner. Your exclusive remedy for breach of that warranty is re-performance if you notify us with reasonable detail within 30 days after performance.

Except for an express warranty in these Terms or a specific written agreement, the Services are provided "as is" and "as available." To the maximum extent permitted by law, Auspex disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, and warranties arising from course of dealing or usage of trade. Auspex does not warrant that a Service will be uninterrupted, error-free, completely secure, or detect or prevent every threat.

15. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or data, arising from or related to the Services or these Terms, even if advised that the damage was possible.

Except for excluded claims below, each party's total aggregate liability arising from or related to a Service or these Terms will not exceed the greater of (a) the fees paid or payable for the affected Service during the 12 months before the event giving rise to liability or (b) one hundred U.S. dollars.

The exclusions and cap do not apply to your payment obligations; infringement or misappropriation of the other party's intellectual property; breach of confidentiality; your violation of the acceptable-use restrictions; indemnification obligations; fraud, gross negligence, or willful misconduct; or liability that cannot lawfully be limited. These limitations apply regardless of the legal theory and allocate risk between the parties.

16. Indemnification

You will defend and indemnify Auspex and its officers, directors, employees, and agents from a third-party claim, damage, judgment, settlement, and reasonable legal cost arising from Customer Data, your unlawful or unauthorized use of a Service, or your material breach of Sections 5 or 6. Auspex will promptly notify you of a claim, allow you to control its defense and settlement, and provide reasonable cooperation at your expense. You may not settle a claim in a manner that admits fault by or imposes an obligation on Auspex without our written consent.

17. Copyright Complaints

If you believe material available through a Service infringes your copyright, send a notice to contact@auspex-labs.com containing your signature, identification of the copyrighted work, identification and location of the allegedly infringing material, your contact information, a statement of good-faith belief that the use is unauthorized, and a statement under penalty of perjury that the notice is accurate and you are authorized to act for the copyright owner.

18. Export, Sanctions, and Government Use

You will comply with applicable export-control, sanctions, and import laws and will not permit access to a Service in a prohibited country or by a prohibited person. You represent that you are not subject to a government restriction that would prohibit use of the Services. Government use is subject to the rights and restrictions in these Terms and applicable procurement law.

19. Governing Law and Disputes

These Terms are governed by Delaware law, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Except where applicable law gives you a right to bring a claim elsewhere, the state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

Before filing a claim, a party will give the other written notice describing the dispute and requested relief and allow 30 days for good-faith resolution. This requirement does not prevent either party from seeking immediate injunctive relief for unauthorized access, misuse, or intellectual-property or confidentiality violations.

20. General Terms

Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with a merger, reorganization, acquisition, or sale of substantially all relevant assets, provided the assignee agrees to be bound. Auspex may use subcontractors but remains responsible for its obligations.

Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. Notices may be delivered electronically. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will remain effective. Headings are for convenience only.

These Terms and any documents expressly incorporated into them are the complete agreement about their subject and replace prior or contemporaneous understandings about that subject. They do not create a partnership, agency, fiduciary, employment, or third-party-beneficiary relationship.

21. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, security requirements, or business practices. We will post the revised Terms at this URL and update the effective date. If a change materially affects an active paid Service, we will provide reasonable advance notice unless immediate action is required for security, safety, or legal compliance. Continued use after the effective date constitutes acceptance of the revised Terms.
